Terms of Service

1) Who we are

These Terms of Service (“Terms”) govern your access to and use of InstoreCheck, including our website, dashboard, reports, APIs, and any related services (collectively, the “Service”). “InstoreCheck,” “we,” “us,” and “our” refer to the operator of the Service. By using the Service, you agree to these Terms.

2) Accounts & eligibility

  • You must be at least 18 and have authority to bind your organization (if you act on its behalf).
  • Keep credentials and API keys confidential. You’re responsible for activities under your account.

3) Your license to use the Service

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and the data/outputs we provide (“Service Data”) for your internal business purposes only and solely as permitted by these Terms.

Absolutely not allowed (key restrictions)

  • Sell, license, rent, sublicense, syndicate, or otherwise monetize Service Data or derivatives to third parties without our prior written consent.
  • Use Service Data to build or train general purpose AI/ML models, or to create a competing dataset or service.
  • Remove proprietary notices or circumvent rate limits, access controls, or usage caps.
  • Use the Service in violation of law, third‑party rights (including website terms you direct us to access), or in a way that imposes unreasonable load.

Need broader rights (e.g., redistribution)? Ask us about a separate Data License.

4) Your content & feedback

  • For inputs you submit (e.g., product lists, store targets) (“Customer Content”), you retain ownership. You grant us the rights necessary to operate the Service and provide outputs.
  • You grant us a perpetual, royalty‑free license to use feedback to improve the Service (without attribution or compensation).

5) Plans, fees, and trials

  • Fees and limits are shown at signup or in your order form; taxes may apply.
  • Trials and credits convert to paid plans as stated at signup.
  • Cancellations take effect at the end of the current billing period. No pro‑rated refunds unless required by law.

6) Service changes & availability

We may update or discontinue features with reasonable notice where practicable. The Service may be unavailable during maintenance or outages.

7) Privacy

Your use is also governed by our Privacy Policy. We act as a service provider/processor for Customer Content; we do not sell personal information.

8) Third‑party sites & data sources

The Service may interact with third‑party sites or data sources. We don’t control them. You’re responsible for complying with applicable third‑party terms and laws.

9) Intellectual property

The Service, underlying technology, and Service Data are owned by us and our licensors. Except for the limited license above, no rights are granted by implication.

10) Confidentiality

Each party may access the other’s non‑public information; each will protect it with at least reasonable care and use it only to perform under these Terms.

11) Compliance & audit

We may monitor usage (e.g., rate, volume, endpoints) to enforce these Terms and ensure platform stability. We may suspend or throttle usage that violates limits or harms the Service.

12) Disclaimers

THE SERVICE AND SERVICE DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. We do not warrant accuracy, completeness, or availability of Service Data.

13) Limitation of liability

  • WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL.
  • OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD.

14) Indemnification

You will defend and indemnify us from claims arising out of (a) your use of the Service or Service Data in violation of these Terms or law, or (b) Customer Content.

15) Suspension & termination

We may suspend or terminate access for violations or risks to the Service. You may terminate anytime by canceling your plan. Sections that by nature survive (e.g., IP, confidentiality, disclaimers, limits, indemnities) will survive termination.

16) Export, sanctions & anti‑abuse

You’ll comply with applicable export, sanctions, and anti‑corruption laws.

17) Governing law; dispute resolution

These Terms are governed by the laws of California, without regard to conflicts principles. Courts in Los Angeles County, CA have exclusive jurisdiction, unless arbitration is mutually agreed.

18) Changes to these Terms

We may update these Terms. If changes are material, we’ll notify you (e.g., via the dashboard or email). Continued use after the effective date constitutes acceptance.
